By accessing or using AllyShield ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you may not access or use the Service. We may update these terms from time to time, and your continued use constitutes acceptance of any changes.
2. Description of Service
AllyShield is a web accessibility monitoring and remediation platform. The Service scans websites for WCAG 2.1 and 2.2 compliance issues, generates detailed audit reports, provides remediation guidance, and offers continuous monitoring. Features and availability may vary by subscription plan.
3. Account Registration
To use the Service you must create an account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security of your password and account credentials.
- Accept responsibility for all activity that occurs under your account.
- Notify us immediately of any unauthorized use of your account.
You must be at least 18 years of age to create an account.
4. Plans & Billing
AllyShield offers multiple subscription plans with varying feature sets. All plans are billed in advance on a monthly or annual basis. Key billing terms:
- Subscriptions renew automatically unless cancelled before the renewal date.
- Upgrades are effective immediately; downgrades take effect at the next billing cycle.
- Refunds are available within 30 days of initial purchase for annual plans.
- We reserve the right to adjust pricing with 30 days' prior notice.
5. Acceptable Use
You agree not to misuse the Service. Prohibited activities include:
- Scanning websites you do not own or have explicit authorization to scan.
- Attempting to bypass rate limits, usage quotas, or security controls.
- Reselling or redistributing the Service without an Agency or Enterprise plan.
- Using the Service for any unlawful purpose or to violate any applicable law.
- Reverse-engineering, decompiling, or disassembling any part of the Service.
- Interfering with or disrupting the integrity or performance of the Service.
6. Intellectual Property
The Service, including all software, design, documentation, branding, and content, is the intellectual property of AllyShield and is protected by copyright, trademark, and other applicable laws. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, or create derivative works of any part of the Service.
7. Data Ownership
You retain full ownership of the data you submit to the Service, including URLs, scan configurations, and any content on your websites. AllyShield does not claim ownership of your data. We process your data solely to provide the Service and as described in our Privacy Policy. Upon account termination, you may request export or deletion of your data.
8. Service Availability
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted availability. Scheduled maintenance windows are communicated in advance via email and our status page. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.
9. Limitation of Liability
To the maximum extent permitted by applicable law, AllyShield shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity. Our total aggregate liability arising out of or related to these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion of implied warranties, so certain limitations may not apply to you.
10. Termination
Either party may terminate this agreement at any time:
- You may cancel your subscription through your account settings or by contacting support.
- We may suspend or terminate your account immediately for material breach of these Terms.
- Upon termination, your right to access the Service ceases immediately.
- Sections relating to intellectual property, limitation of liability, and governing law survive termination.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware. If any provision is found unenforceable, the remaining provisions continue in full force and effect.
